Terms & Conditions - Client Onboarding
These Terms & Conditions ("Terms") govern the engagement between SquidPulse ("SquidPulse", "we", "us") and the client submitting this onboarding form ("Client", "you") for digital marketing, Google Ads management, web development, and social media marketing (SMM) services. By submitting this form, you confirm you have authority to act on behalf of the business named and agree to be bound by these Terms.
1. Scope of Services
Services are limited to what is agreed in your service proposal/quote, invoice, or statement of work. This may include, where applicable: Google Ads / paid search campaign setup and management, social media marketing and content management, website design and development, and related digital marketing activities. Any work outside the agreed scope may be quoted and billed separately.
2. Client Responsibilities
You agree to provide accurate business information, timely access to required accounts (e.g. Google Ads, Google Business Profile, social media, hosting/domain, analytics), brand assets, and feedback needed for us to deliver the agreed services. Delays in providing access or approvals may extend project timelines accordingly.
3. Advertising & Platform Disclaimer
For Google Ads, SEO, and social media advertising services, SquidPulse manages campaigns to industry best practice, but we do not guarantee specific rankings, click-through rates, conversion rates, or return on ad spend, as these depend on factors outside our control including platform algorithms, market competition, and budget. Ad spend paid directly to Google, Meta, or other platforms is separate from and in addition to our service fees unless stated otherwise in your proposal.
4. Fees & Payment
Fees, billing frequency, and payment terms are set out in your proposal or invoice. Accounts not paid by the due date may result in suspension of services until payment is received. All fees are in AUD unless stated otherwise and are exclusive of GST unless specified.
5. Intellectual Property
Upon full payment, deliverables created specifically for you (e.g. website files, creative assets) become your property, excluding any third-party licenses, stock assets, or SquidPulse's pre-existing tools, templates, and frameworks, which remain our property and are licensed to you for use in the delivered work only.
6. Confidentiality
Both parties agree to keep confidential any non-public business, financial, or account information shared during the engagement, and to use it only for the purpose of delivering the agreed services.
7. Term & Cancellation
Unless otherwise agreed in writing, services are provided on an ongoing basis and may be cancelled by either party with written notice as specified in your proposal. Work completed and costs already incurred (including prepaid ad spend) up to the cancellation date remain payable.
8. Limitation of Liability
To the extent permitted by law, SquidPulse's liability for any claim arising from these services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect or consequential loss, including loss of profits or business opportunity.
9. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
10. Contact
Questions about these Terms can be directed to SquidPulse via your account contact or through our website.
